Job Summary

Information Technology (IT) Senior Counsel is a pivotal role to our enterprise. This individual will work directly with IT and commercial team colleagues to provide legal support for commercial contracts. Focus on customer-side IT contract support including software (on-premises and SaaS), cloud and information security agreements and data privacy issues.

This is a remote opportunity.

What we're looking for:

Education:

  • JD from an accredited law school, with strong academic credentials

Experience:

  • Minimum of five (5) years of experience negotiating, reviewing, revising and drafting complex IT contracts (as the customer), including SaaS and software licensing agreements, data protection/processing agreements, master professional services agreements, statements of work, order forms, reseller agreements, and non-disclosure agreements in an in-house setting, preferably with a large, global, publicly-traded company
  • Experience utilizing contract lifecycle management system(s)
  • Knowledge of relevant IT industry and cyber security concerns and practices (e.g.; SOC reports and ISO 27001 certifications/compliance)
  • Subject matter expertise in global data privacy laws and regulations, including but not limited to GDPR, CCPA and HIPAA

Preferred Qualifications:

  • Current bar admission required (Pennsylvania preferred)
  • Minimum of seven (7) years relevant experience at a law firm, in-house legal department, or a combination of both, with at least three (3) years of in-house experience preferred
  • Preferred additional experience in the chemical, distribution and/or life sciences industries in negotiating, reviewing, revising and drafting a wide variety of commercial agreements, including distribution and manufacturing customer, supplier, vendor, service, consignment, and nondisclosure agreements

  • Work directly with IT and commercial team colleagues to provide legal support for commercial contracts
  • Focus on customer-side IT contract support including software (on-premises and SaaS), cloud and information security agreements and data privacy issues
  • Manage IT Contract Specialist(s) and/or lawyer(s), legal contractor(s) and/or outside counsel supporting IT transactions
  • Provide advice and assistance regarding legal interpretations and analysis of the business risk of contracts
  • Monitor current and evolving statutes, regulations, and case law relating to IT, data protection, and information security
  • Collaborate with global colleagues (including Data Privacy Officer) on corporate policies and other initiatives
  • Assist in developing creative solutions for commercial issues and disputes
  • Ensure compliance with internal policies and procedures
  • Provide IT contracting training, including training on internal policies and procedures
  • Assist in the development of IT contract templates, policies, procedures, and other documents
  • Support implementation of contract lifecycle management system as necessary
  • Assist with special projects and perform other duties as assigned
